The Position:
We are looking for a self-driven Commercial Counselor who will be working with a national sales team to draft, review, and negotiate agreements with government agencies and enterprise customers.
Every day you will:
The Commercial Counsel position is responsible for drafting, reviewing, and negotiating a wide range of technology sales, partnership, and financing agreements with government agencies and enterprise customers.
What you might do on a typical day:
- Review, draft, and negotiate technology (hardware and SaaS) sales and related agreements with public and private sector customers while managing shifting priorities
- Identify compliance requirements to do business with specific customers and develop related policies and procedures
- Develop internal processes and procedures to improve contracting efficiency
- Draft template agreements and develop contracting playbooks
- Utilize research skills to find, interpret, and apply legal statues, judicial decisions, compliance requirements and other relevant sources
- Legal issue spotting
- Establish and maintain strong relationships with employees in various departments, and hone negotiation skills for legal and financial issues

In your previous experience:
- 2-4 years’ experience as a practicing attorney, in-house experience preferred
- Prior experience negotiating commercial agreements with public and private sector customers
- Familiarity with government contracting requirements
- Prior experience successfully leading multiple internal/external projects
Desired Competencies:
- Excellent written and verbal communication skills, especially with respect to legal documentation
- Ability to effectively interact with and communicate complex legal concepts to internal stakeholders, including managers and executives
- Strong legal background in commercial technology transactions and government contracting
- Working knowledge of computer and software (SaaS) technology
Required Education:
- J.D. from an accredited law school
- Active license to practice law in Minnesota
